This show discusses how board committees have assumed most of the heavy lifting with respect to many of the tasks that are assigned the board. Regulations like Say on Pay and trends like enhanced shareholder engagement have put both committees and committee chairs in more comprehensive roles.
With added committee and committee chair duties comes equal responsibility to make sure boards have the right talent and skill sets to be effective. This has traditionally been the job of the Nominating/Governance chair and/or the independent chair or lead director. In addition, if directors aren’t pulling their weight, Roskin pointed out that each board must do a meaningful evaluation to make sure that non-contributors are replaced with more valued directors.
